Tripio Travel Terms and Conditions
1. GENERAL
1.1. Definitions.
The terms “Tripio Travel,” “us” or “we” refer to SV Travel Ventures, Inc. d/b/a Tripio Travel.
The term “Trip” refers to any group trip organized, arranged or operated by Tripio Travel,
including all travel, transportation, accommodations, meals, excursions, activities and
events that form part of it. The term “you” or “Participant” refers to each person who
purchases, accepts as a gift or prize, attends or participates in a Trip, and other members
of your party.
1.2.
These Terms & Conditions (this “Agreement”) contain the terms and conditions on which
we plan, arrange and provide Trips and related travel services to you, whether booked
through our website at www.TripioTravel.com (the “Website”), through your employer or the
organization sponsoring the Trip, or by other means.
1.3.
Please read these Terms carefully before booking, accepting or attending a Trip. BY
REGISTERING FOR, PURCHASING, ACCEPTING AS A GIFT OR PRIZE, ATTENDING OR
PARTICIPATING IN A TRIPIO TRAVEL GROUP TRIP IN ANY WAY, YOU ACKNOWLEDGE THAT
YOU HAVE FULLY READ, UNDERSTOOD, COVENANT AND AGREE TO THESE TERMS,
INCLUDING THE FULL RELEASE AND WAIVER IN SECTION 6. IF YOU DO NOT AGREE TO
THESE TERMS AND WAIVER, YOU SHOULD NOT ATTEND A TRIPIO TRAVEL GROUP TRIP.
2. CODE OF CONDUCT
2.1.
As a condition of your participation in a Trip, you warrant that (i) all information you supply
to Tripio Travel is true, accurate, current and complete, (ii) you are 18 years of age or older,
or you are the parent or legal guardian of a minor Participant and accept these Terms on the
minor’s behalf, and (iii) you possess the legal authority to enter into this Agreement. We
retain the right at our sole discretion to deny anyone participation in a Trip, at any time and
for any reason, including, but not limited to, for violation of this Agreement.
2.2. Minors.
Minors (anyone under 18 years of age) may participate in a Trip only with a parent or legal
guardian. The parent or legal guardian accepts these Terms, including the waiver and
release in Section 6 and the media release in Section 7, on the minor’s behalf, and is
responsible for the minor’s conduct, safety and supervision throughout the Trip.
2.3.
Itineraries, destination information and other materials we provide are for general planning
purposes only. Tripio Travel cannot guarantee that all information about destinations,
venues or activities is accurate or complete, and such information is not updated on a
continuous basis to reflect changing conditions.
2.4.
You agree to be mindful and respectful of the places you visit and the people you interact
with during a Trip, including other participants, Tripio Travel staff, local guides, suppliers
and residents. You agree that your behavior will be appropriate to the environment around
you and that you will not create excessive noise or other disturbances, or any unsafe
conditions.
2.5.
Some destinations and activities included in or offered during a Trip may involve difficult to
access or potentially hazardous locations. There are many variables that must be
considered, including weather, fitness level, terrain features and experience in similar
situations. Always exercise common sense and caution. The inclusion of a location or
activity in a Trip itinerary does not imply that it is free of risk. Visiting such locations can at
times involve risk of injury, death, property damage and other dangers, and you understand
that Tripio Travel cannot and does not assume responsibility for any such personal injury,
death or property damage, all of which are at your own risk.
2.6. Private Property.
You agree that you will not trespass, or in any manner attempt to gain access to, any
property or location where you do not have a right or permission to be. You are solely
responsible for obtaining any permission required to enter private property that is not part
of the Trip itinerary.
2.7. Lawful Conduct.
You agree to obey all applicable laws of the places you visit, not to impersonate any other
person, and not to conduct yourself in an offensive, illegal or harmful manner during the
Trip.
3. INTELLECTUAL PROPERTY RIGHTS
3.1.
Except where otherwise indicated, all itineraries, text, graphics, photos, videos,
trademarks, service marks and logos created or provided by Tripio Travel (“Content”) are
owned by or licensed to Tripio Travel and are subject to copyright and other intellectual
property rights under United States and foreign laws and international conventions.
Content may not be copied, reproduced, distributed, sold or otherwise exploited for any
commercial purpose without the prior written consent of Tripio Travel. Tripio Travel reserves
all rights not expressly granted in this Agreement.
4. WARRANTY, DISCLAIMER, AND LIMITATIONS OF LIABILITY
4.1.
YOU AGREE THAT YOUR PARTICIPATION IN THE TRIP SHALL BE AT YOUR SOLE RISK. TO
THE FULLEST EXTENT PERMITTED BY LAW, TRIPIO TRAVEL, ITS OFFICERS, DIRECTORS,
EMPLOYEES, CONTRACTORS AND AGENTS (THE “TRIPIO TRAVEL PARTIES”) DISCLAIM ALL
WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE TRIP. TRIPIO TRAVEL
MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR
COMPLETENESS OF ANY INFORMATION PROVIDED ABOUT THE TRIP AND ASSUMES NO
LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES IN
SUCH INFORMATION, OR (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE
WHATSOEVER, RESULTING FROM YOUR PARTICIPATION IN THE TRIP. TRIPIO TRAVEL DOES
NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY
PRODUCT OR SERVICE PROVIDED BY A THIRD PARTY, INCLUDING AIRLINES, HOTELS,
RESORTS, TRANSPORTATION PROVIDERS, EXCURSION OPERATORS AND LOCAL GUIDES.
4.2.
The risk of injury, illness (including communicable diseases such as COVID-19), disability
and/or death from the activities involved in a Trip is significant, including, but not limited to,
the following: (i) sprains; (ii) strains; (iii) fractures; (iv) burns, cuts and tears; (v) bruises; (vi)
heat and cold injuries; (vii) various water-related injuries, including but not limited to
drowning; (viii) over-use syndrome; (ix) accidents and/or injuries involving vehicles; (x)
animal and/or insect bites and/or stings; (xi) contact with poisonous plants; (xii) accidents
and/or injury involving, but not limited to, falling, slipping, sliding, running, or travel by boat,
truck, car or other conveyance; (xiii) heart attack; (xiv) potential for permanent paralysis
and/or death; (xv) illness; (xvi) those risks created by other Trip participants; and (xvii) those
risks due to defects or conditions of or at the activities involved in a Trip. You understand
that Trip activities may be dangerous and could cause bodily harm, illness, injury, or death
to yourself and/or others, and that you are not in any way required to participate, but are
choosing to do so of your own free will. While particular rules, equipment and personal
discipline may reduce these risks, the risk of death, illness, disability or injury does exist.
4.3.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, UNDER NO
CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT,
NEGLIGENCE, OR OTHERWISE) WILL THE TRIPIO TRAVEL PARTIES BE LIABLE TO YOU OR
TO ANY THIRD PARTIES FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR PUNITIVE
DAMAGES, OR ANY OTHER LOSS INCURRED BY YOU OR ANY OTHER THIRD PARTY IN
CONNECTION WITH THE TRIP, YOUR BOOKING, OR OTHERWISE, IN EACH CASE
WHETHER OR NOT TRIPIO TRAVEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. TO THE FULLEST EXTENT PROVIDED BY LAW, THE TRIPIO TRAVEL PARTIES WILL
NOT BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY CLAIM ARISING OUT OF OR
RELATING TO THE TRIP FOR ANY AMOUNT THAT EXCEEDS THE GREATER OF (i) THE
AMOUNT PAID BY YOU TO TRIPIO TRAVEL FOR THE TRIP THAT GIVES RISE TO THE CLAIM
OR (ii) ONE HUNDRED DOLLARS ($100). ANY CLAIM ARISING OUT OF OR RELATING TO
THE TRIP MUST BE BROUGHT WITHIN EIGHTEEN (18) MONTHS OF THE EVENTS GIVING
RISE TO THE CLAIM. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE
FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN TRIPIO TRAVEL AND
YOU. Some jurisdictions do not allow the exclusion of implied warranties or limitation of
liability for incidental or consequential damages, which means that some of the above
limitations may not apply to you. IN THESE JURISDICTIONS, TRIPIO TRAVEL’S LIABILITY
WILL BE LIMITED TO THE GREATEST EXTENT ALLOWED BY LAW. The limitations set forth
herein will survive termination or expiration of these Terms and apply even if any limited
remedy specified in these Terms is found to have failed its essential purpose.
5. INDEMNIFICATION
5.1.
You agree to defend, indemnify and hold harmless Tripio Travel and its affiliates, officers,
directors, employees, contractors and agents, from and against any and all claims,
damages, obligations, losses, liabilities, costs or debt, and expenses (including but not
limited to attorney’s fees) arising from: (i) your participation in the Trip; (ii) your violation of
any term of these Terms and Conditions; (iii) your violation of any third party right, including
without limitation any copyright, property, or privacy right; or (iv) any claim made by a
member of your party arising from your conduct during the Trip. This obligation will survive
these Terms and Conditions and the completion of the Trip.
6. TRIPIO TRAVEL GROUP TRIPS LIABILITY WAIVER AND RELEASE AGREEMENT
By purchasing, accepting as a gift or prize, attending, or participating in a Trip, all
Participants agree to the following terms:
6.1. Assumption of Risk
The Participant acknowledges and understands that participating in a Trip, including any
activities associated with it, involves inherent risks of injury, illness, property damage, and
other dangers that may result from natural conditions, activities, negligence, or actions of
other participants. These risks include, but are not limited to, physical injury, death,
robbery, theft, and any other personal harm that may occur during the Trip. The Participant
voluntarily assumes all risks related to the Trip.
6.2. Waiver and Release of Liability
The Participant agrees to release, indemnify, and hold harmless Tripio Travel, its officers,
directors, employees, agents, contractors, and affiliates from any and all liability, claims,
demands, actions, or causes of action, including but not limited to personal injury, death,
property damage, theft, or any other issue arising from the Participant’s participation in the
Trip. This release applies to all injuries, damages, losses, and expenses arising from
negligence, intentional acts, or any other cause, whether foreseeable or unforeseeable.
6.3. Personal Responsibility and Safety
The Participant acknowledges that they are solely responsible for their own actions and
safety during the Trip. The Participant agrees to obey all applicable laws, regulations, and
safety instructions, and to act in a manner that does not endanger themselves or others.
The Participant agrees to follow all guidelines and instructions provided by Tripio Travel and
any trip organizers, and to act with reasonable care at all times.
6.4. Medical and Health Responsibility
The Participant confirms that they are in good health and capable of participating in the Trip
and any associated activities. The Participant acknowledges that it is their responsibility to
obtain any necessary medical clearance before participating and to carry any medications
or medical supplies they may need.
6.5. Robbery and Theft
The Participant agrees that Tripio Travel is not responsible for any theft, robbery, or loss of
personal property that may occur during the Trip. The Participant is solely responsible for
safeguarding their own belongings and understands that Tripio Travel is not liable for any
loss or damage to personal items.
6.6. Emergency Situations
In the event of an emergency or accident, the Participant consents to emergency medical
treatment as deemed necessary by medical professionals. The Participant understands
that Tripio Travel is not liable for the cost or quality of such treatment.
6.7. Flights and Airport Shuttles
You acknowledge and agree that it is your responsibility to check and verify your own flight
info and stay updated on flight status. It is also your responsibility to get to the airport on
time. Tripio Travel is NOT responsible for your on-time airport arrival even if a shuttle
service is included in your trip package. When Tripio Travel provides transport to the airport,
it is booked at the time that seems best, but Tripio Travel cannot control traffic, flight
changes, weather, you or other passengers arriving to the shuttle on time, the shuttle
arriving on time, your or others’ personal airport arrival time preferences, etc. If you or
anyone are worried about anything, you are encouraged to arrange your own flight or
transport at your own cost. You acknowledge and agree that Tripio Travel is NOT
responsible for your on-time airport arrival, you are.
6.8. No Refunds
The Participant agrees that Tripio Travel does not provide refunds under any circumstances,
including but not limited to inclement weather, dissatisfaction with the Trip,
accommodations, excursions, activities, or any other aspect of the Trip. This applies
regardless of the Participant’s enjoyment or success during the Trip, and no refunds will be
issued for any reason, including personal preference or change of mind.
6.9. Acknowledgement and Agreement
By purchasing, accepting as a gift or prize, attending, or participating in the Trip in any way,
the Participant affirms that they have read and agreed to these terms and waiver in their
entirety.
7. PHOTOGRAPHY, VIDEO AND MEDIA RELEASE
7.1. Photography During the Trip
The Participant acknowledges that photographs and video recordings (“Images”) will be
taken throughout the Trip, including by Tripio Travel staff, photographers or videographers
engaged by Tripio Travel, and other participants, and that the Participant may appear in
these Images.
7.2. Permission to Use Images
By signing or otherwise accepting these Terms, the Participant grants Tripio Travel
permission, without compensation, to use, reproduce, edit and publish Images in which
the Participant appears for the following purposes: (i) internal promotion of the Trip,
including sharing Images with Trip participants and with the company or organization that
sponsored the Trip; and (ii) posting on Tripio Travel’s social media accounts. This
permission continues after the Trip is completed.
7.3. Our Commitment to You
Tripio Travel will not publish any Image that could reasonably be considered embarrassing,
unflattering or compromising to the Participant. Tripio Travel will also make every
reasonable effort to avoid making the Participant too identifiable in published Images,
including by favoring group and wide shots and by not naming or tagging the Participant
without their permission.
7.4. Removal Requests
If the Participant is uncomfortable with a specific Image posted on Tripio Travel’s social
media accounts, the Participant may ask Tripio Travel to remove it by contacting us at the
address in Section 9.11, and we will remove it within a reasonable time.
7.5. Minors
Tripio Travel will not post an identifiable Image of a minor on its social media accounts
without the written consent of the minor’s parent or legal guardian.
7.6. Images Taken by Others
Tripio Travel is not responsible for Images taken or published by other participants or third
parties who are not acting on behalf of Tripio Travel.
8. PRIVACY POLICY
8.1.
The Tripio Travel Privacy Policy (www.TripioTravel.com/Privacy) is part of these Terms and
Conditions, and you acknowledge that you have read and agreed to said Privacy Policy in
conjunction with these Terms.
8.2.
The Privacy Policy describes how Tripio Travel collects, uses, shares and protects personal
information, including sharing information with travel suppliers and with the company or
organization that sponsors the Trip as needed to arrange and deliver it.
9. GENERAL TERMS AND CONDITIONS
9.1. No Waiver.
No waiver will be implied from conduct or failure to enforce or exercise rights under this
Agreement. No waiver of any provision of this Agreement will constitute a waiver of any
other provision, whether or not similar, nor will any waiver constitute a continuing waiver.
Failure to enforce any provision of this Agreement will not operate as a waiver of such
provision or any other provision or of the right to enforce such provision or any other
provision. Waivers must be made in writing and executed by a duly authorized
representative of the waiving party.
9.2. Third-Party Suppliers.
Trips include services provided by third parties that are not owned or controlled by Tripio
Travel, such as airlines, hotels and resorts, transportation providers, restaurants, excursion
operators and local guides (“Third-Party Suppliers”). You acknowledge and agree that Tripio
Travel has no control over Third-Party Suppliers and is not responsible or liable, directly or
indirectly, for any act, omission, delay, damage or loss caused or alleged to be caused by
any Third-Party Supplier. Services provided by Third-Party Suppliers may also be subject to
those suppliers’ own terms and conditions.
9.3. Force Majeure.
Tripio Travel shall not be liable for any delay or failure to perform resulting from causes
outside its reasonable control, including, but not limited to, acts of God, pandemics, war,
terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes
or shortages of transportation facilities, fuel, energy, labor or materials.
9.4. Amendments.
Tripio Travel may update or modify these Terms (including any referenced policies and
other documents) from time to time by posting a revised version on the Website or by
notifying you by email. Modifications will become effective upon posting or notification,
and your continued participation in a Trip following the update will constitute acceptance
of the updated Terms. If you do not agree to the updated Terms, you should not attend the
Trip.
9.5. Arbitration.
Except as otherwise specified below, all actions, disputes, claims and controversies under
common law, statutory law or in equity of any type or nature whatsoever, related to the Trip
or this Agreement, will be subject to and resolved by binding arbitration pursuant to the
Arbitration Rules of U.S. Arbitration & Mediation, (www.usam.com). The Arbitration shall
occur in Utah County in the State of Utah. Any award or order rendered by the arbitrator
may be confirmed as a judgment or order in any state or federal court of competent
jurisdiction, which includes within the federal judicial district of the residence of the party
against whom such award or order was entered.
9.6. Severability.
If any provision of this Agreement is found by any court of competent jurisdiction to be
unenforceable, void or invalid, that provision will be limited to the minimum extent
necessary so that this Agreement may otherwise remain in effect, and all other provisions
remain in full effect.
9.7. No Third-Party Rights.
Nothing in this Agreement confers on any third party the right to enforce any provision of
this Agreement.
9.8. Attorneys’ Fees and Costs.
The substantially prevailing party in any action to enforce this Agreement will be entitled to
recover its reasonable attorneys’ fees and costs for the action.
9.9. Entire Agreement.
This Agreement represents the parties’ complete and exclusive understanding relating to
the Agreement’s subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Trip or any other
subject matter covered by this Agreement.
9.10. Governing Law;
Jurisdiction and Venue.
This Agreement is governed by the laws of the State of Utah and the United States, without
regard to choice or conflict of law rules thereof. The exclusive jurisdiction and venue for
actions related to the subject matter of this Agreement will be the state courts located in
Salt Lake County or Utah County, Utah or the United States District Court for the District of
Utah, and both parties submit to the personal jurisdiction of these courts.
